These Terms of Service (“Terms”) govern your use of the Nexus Tax Filing website, client portal, and related online services. By visiting the site, creating an account, or submitting information, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the site.
A paid tax-preparation engagement may also be covered by a separate engagement letter. If there is a conflict about paid filing work, the engagement letter controls for that work.
1. Who we are
Nexus Tax Filing provides tax preparation, planning, and related support for individuals and businesses. Website content is general information. It is not legal, accounting, or tax advice until we accept you as a client in writing and receive the facts needed for your return.
2. Eligibility and accounts
- You must be at least 18 years old and able to enter a contract.
- You are responsible for the accuracy of the information and documents you provide.
- Keep your portal password confidential. You are responsible for activity under your login.
- We may refuse, suspend, or close an account that appears fraudulent, abusive, or created for testing with fake documents.
3. Client portal and uploads
- Upload only documents that belong to you or that you are authorized to submit.
- Do not upload malware, or files meant to probe, disrupt, or impersonate another person.
- Uploading documents does not by itself create a filing engagement or guarantee that we will prepare or e-file a return.
- We may review, reject, or delete files that are incomplete, unreadable, or appear false.
4. Your responsibilities
You agree to provide complete and truthful information, respond to document requests, and review your return before it is filed. You remain responsible for the accuracy of your tax return even when we prepare it, as required by IRS rules for taxpayers.
5. Fees and payments
Service fees are quoted for your situation and are due as we invoice or as shown at checkout. Third-party processors (such as card networks) may charge their own fees. Tax refunds from the IRS or a state are not payments from Nexus and are not guaranteed.
6. No guarantee of results
We do not guarantee a refund amount, audit outcome, or processing time. IRS and state processing, identity checks, and your facts all affect results. Past results for other clients do not predict yours.
7. IRS Circular 230 notice
Unless we provide a written opinion that meets IRS standards, nothing on this website or in informal messages is written to be used, and cannot be used, for the purpose of avoiding IRS penalties.
8. Intellectual property
The Nexus name, logo, site design, and content belong to Nexus Tax Filing or our licensors. You may not copy or reuse them except as needed to use the site for its intended purpose.
9. Acceptable use
You may not:
- Attempt to access another client’s account or files.
- Scrape, overload, or reverse engineer the site.
- Use the portal for marketing tests, fake PDFs, or other non-client activity without our written permission.
- Violate any applicable law.
10. Disclaimers
The site and portal are provided “as is.” We disclaim implied warranties of merchantability, fitness for a particular purpose, and non-infringement to the fullest extent allowed by law. We do not warrant uninterrupted or error-free access.
11. Limitation of liability
To the fullest extent allowed by law, Nexus and its owners, employees, and contractors are not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, data, or tax refunds, arising from your use of the site. Our total liability for claims related to the website or portal will not exceed the fees you paid us for the services giving rise to the claim in the twelve months before the claim. Some states do not allow certain limitations; in those states our liability is limited to the maximum extent permitted.
12. Indemnity
You agree to indemnify Nexus against claims, losses, and reasonable legal fees arising from your misuse of the site, inaccurate submissions, or violation of these Terms, except to the extent caused by our gross negligence or willful misconduct.
13. Termination
You may stop using the site at any time. We may suspend access if you breach these Terms or if we must do so for security or legal reasons. Sections that should survive (including fees owed, confidentiality, disclaimers, and liability limits) remain in effect.
14. Changes
We may update these Terms. The effective date will change when we do. Continued use after an update constitutes acceptance.
15. Governing law
These Terms are governed by the laws of the United States and the state in which Nexus Tax Filing maintains its principal office, without regard to conflict-of-law rules. Courts in that state have exclusive jurisdiction, except that we may seek injunctive relief in any forum to protect client data or intellectual property.
